1. Permission to Access Premises

Keys and access codes are held only by authorized team members and stored in a manner intended to keep them secure. The Cleaning Company is not liable for unauthorized use of access information that the Client has also shared with third parties.

2. Service Plan

3. Services Provided

Kimi's team will perform:

  • Dusting (surfaces, fixtures, picture frames)
  • Complete bathroom cleaning (tubs, showers, toilets, vanities, mirrors)
  • Kitchen surface cleaning (counters, stovetop exterior, appliance exteriors)
  • Dusting baseboards and ceiling fans
  • Vacuuming carpets and rugs; mopping hard floors
  • Emptying interior trash bins (bag replacement if provided)

Not included in basic cleaning:

  • Laundry, ironing, or folding
  • Changing bed sheets (unless added as an extra)
  • Washing dishes (sinks must be empty on arrival)
  • Exterior window cleaning

4. Protective Exclusions (What the Team Will Not Handle)

For the safety of the team and the Client, Kimi's team will not perform any of the following. If a condition listed below is discovered on arrival, the team may decline service and the Client will be charged the full cleaning fee for the scheduled visit.

  • Biohazards: blood, bodily fluids, feces, vomit, drug residue, needles, or any cleanup requiring OSHA bloodborne pathogen protocols
  • Hoarding cleanup or homes with conditions that compromise safe access or air quality
  • Active pest infestations (roaches, bedbugs, fleas, rodents); team will reschedule once treated
  • Mold remediation or visible mold exceeding a small surface area
  • Work at heights above six (6) feet; no ladders above step-stool height, no exterior windows above ground floor, no roof or gutter work
  • Moving furniture or appliances heavier than thirty (30) pounds, or unplugging electronics behind built-ins
  • Cleaning around firearms, ammunition, illegal substances, evidence, or items the team reasonably believes to be unsafe to handle
  • Outdoor grounds, yards, garages, attics, basements, or crawlspaces unless explicitly contracted in writing

5. Supplies Provided by Client

So the team can do its best work, the Client agrees to provide:

  • Magic erasers
  • 360 dusters
  • Mrs. Meyer's all-purpose concentrate
  • Scrubbing Bubbles
  • Dawn

If the Client has allergies, sensitivities, or surface restrictions (for example, no bleach on natural stone), the Client must disclose them in writing prior to service.

6. Client Responsibilities

  • Empty sinks of dishes before the team arrives.
  • Pick up personal belongings, paperwork, and clothing from surfaces to be cleaned.
  • Secure cash, jewelry, prescription medications, firearms, sentimental items, antiques, and items of unusual or sentimental value. The team is not liable for undisclosed high-value items.
  • Disclose in writing any pre-existing damage, loose tiles, wobbly fixtures, stained surfaces, items in disrepair, or surfaces requiring special care. The team is not liable for damage to items in disrepair or with undisclosed pre-existing conditions.
  • Secure or confine pets that may bite, jump, escape, or interfere with the team's work.
  • Keep children, infants, and pets out of active cleaning areas for safety (chemical exposure, wet floors).
  • Maintain interior temperature between 60 and 78 degrees Fahrenheit and provide running water during service.
  • Disclose any active audio or video recording devices in the home (see Section on Audio and Video).

7. Additional Services

Additional services not listed in Section 3 are available at $ per hour, billed in thirty (30) minute increments from arrival, upon advance written request from the Client.

8. Cancellation, Reschedule, and Lockout

Cancellations and reschedule requests must be made at least twenty-four (24) hours in advance. Late cancellations incur a fifty percent (50%) charge of the scheduled visit. If the team arrives at the scheduled time and cannot access the premises, the Client will be charged the full cleaning fee for that visit.

9. Payment Terms

Payment is due upon completion of each visit unless other terms are agreed in writing. Accepted methods: cash, check, Zelle, Venmo, or other electronic transfer as offered by the Cleaning Company. Balances unpaid after fifteen (15) days accrue a late fee equal to the greater of one and one-half percent (1.5%) per month or $25.00 per month. Returned checks incur a $35.00 fee. The Cleaning Company may pause or terminate service for unpaid balances older than thirty (30) days.

10. Damage Reporting Window

Any claim of damage, loss, or breakage must be reported to the Cleaning Company in writing (email or text to the business line is sufficient) within forty-eight (48) hours of the completion of the visit during which the alleged damage occurred. Claims submitted after this window will not be honored. This window is a material term of the Agreement and exists so the Cleaning Company can investigate while the facts are fresh.

11. Pre-Existing Conditions

The Client is responsible for disclosing in writing, prior to service, any pre-existing damage, items in disrepair, fragile or loose fixtures, stained surfaces, antiques, or surfaces requiring special care. The Cleaning Company is not liable for damage to items in disrepair, undisclosed pre-existing conditions, or surfaces that fail under normal cleaning due to age, wear, or unknown prior treatment.

12. Liability Cap

The Cleaning Company's total liability for any single incident of damage or loss is limited to the actual repair or replacement cost of the damaged item at its depreciated value, not to exceed the greater of $500.00 or the cost of one cleaning visit at the premises. The Client expressly waives any claim for incidental, consequential, punitive, or sentimental-value damages.

13. Satisfaction Guarantee

If the Client is not satisfied with the work performed, the Client must notify the Cleaning Company within twenty-four (24) hours of service completion, identifying the specific area or item of concern. The Cleaning Company will return at a mutually agreed time to re-clean the specific area at no additional charge. This re-clean is the Client's sole and exclusive remedy. Refunds, credits, or discounts are not offered under this Agreement.

14. Insurance

The Cleaning Company maintains general liability and workers' compensation insurance covering its team. A certificate of insurance is available upon written request to the business line listed at the top of this Agreement.

15. Indemnification

The Client agrees to indemnify, defend, and hold harmless the Cleaning Company and its team from any claims, damages, or liabilities arising from (a) undisclosed conditions of the premises, (b) the acts or omissions of third parties present at the premises during service, (c) injury to pets that were not secured by the Client, or (d) the Client's breach of this Agreement.

16. Safety and Environmental Conditions

The Cleaning Company may suspend or end a visit, with the full cleaning fee charged, if conditions at the premises are unsafe. Unsafe conditions include but are not limited to: interior temperature below 60°F or above 78°F; no running water; active smoke or carbon monoxide alarms; exposed wiring; hazardous odors; visible signs of recent flooding or fire; or the presence of any condition listed in Section 4 (Protective Exclusions).

17. Pets

The Client agrees to secure or confine pets that may bite, jump, escape, or interfere with the team's work. The Cleaning Company is not liable for pet escape through doors or windows opened during the ordinary course of cleaning. The team may decline service and charge the full cleaning fee if pets create an unsafe working environment.

18. Audio and Video Recording

The Client must disclose any active audio or video recording devices in the home (including doorbell cameras, nanny cameras, smart speakers with recording features, and similar). The Commonwealth of Virginia is a one-party consent jurisdiction for audio recording; the Client's use of recording devices in spaces the team works in must comply with applicable law. The team does not consent to being recorded by undisclosed devices.

19. Background Checks and Confidentiality

All Kimi Jean Comecleanteam members have passed a background check prior to entering Client homes. The team will not disclose information about the Client's home, household, or belongings to any third party, except as required by law or to report a reasonable suspicion of abuse, illegal activity, or imminent harm.

20. Non-Solicitation of Personnel

The Client agrees not to directly or indirectly hire, employ, engage as an independent contractor, or refer for cleaning services any current or former Kimi Jean Comecleanteam member for a period of twenty-four (24) months following the team member's last day of service for the Cleaning Company. If the Client breaches this provision, the Client agrees to pay the Cleaning Company $2,500.00 as liquidated damages, the parties agreeing this is a reasonable estimate of the costs of recruiting, screening, training, and replacing the team member and not a penalty.

21. Independent Contractor Relationship

The Cleaning Company is an independent service provider. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between the Client and any Kimi Jean Comeclean team member.

22. Photographs and Social Media

The Cleaning Company may take before-and-after photographs of cleaned areas for internal quality records. Photographs will not be used for marketing or social media without the Client's separate written consent. Check one:

23. Tipping

Tips are appreciated by the team but never required or expected. This Agreement does not establish any tipping obligation.

24. Force Majeure

Neither party is liable for failure to perform caused by events beyond reasonable control, including named storms, hurricanes, evacuation orders, flooding, extended power outages, public health emergencies, or government orders restricting movement. Service will resume as soon as reasonably practicable, and the Cleaning Company will make a good-faith effort to reschedule.

25. Termination

Either party may terminate this Agreement, with or without cause, on fourteen (14) days written notice to the other party. All outstanding balances become immediately due upon the effective date of termination. Sections 9 through 15, 20, and 27 through 30 survive termination.

26. Notices

Written notices required under this Agreement may be sent by email or text message to the business line at the top of this Agreement, or to the Client's email or phone number listed above. Notice is effective on the date sent.

27. Governing Law and Venue

This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. Any dispute arising under this Agreement shall be brought exclusively in the General District Court or Circuit Court of , Virginia. Service area as of execution: Virginia Beach, Norfolk, Chesapeake.

28. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision shall be construed to give effect to the parties' original intent to the fullest extent permitted by law.

29. Entire Agreement and Amendments

This Agreement, together with any written addenda signed by both parties, constitutes the entire agreement between the Client and the Cleaning Company and supersedes any prior verbal or written understandings. Any amendment must be in writing and signed (or electronically agreed to) by both parties to be effective.

30. Acknowledgement

The Client acknowledges having read this Agreement, having had the opportunity to ask questions, and understanding that the Damage Reporting Window in Section 10, the Liability Cap in Section 12, and the Non-Solicitation provision in Section 20 are material terms of this Agreement.
